Waypoints

  1. I Squared Capital agreed to acquire Milestone Environmental from SK Capital Partners; financial terms undisclosed, closing expected in Q4 pending regulatory approvals.

  2. Milestone operates 15 fully permitted disposal facilities and in 2023 disposed of nearly 700 million gallons of liquid waste, 625,000 tons of solid waste, and sequestered 390,000 tons of CO2 equivalent.

  3. The company is expanding from oilfield waste into hazardous and non-hazardous industrial waste streams, a core element of the deal's growth thesis.

I Squared Capital has signed a definitive agreement to acquire Milestone Environmental Services LLC from SK Capital Partners, taking control of a Houston-based operator that runs 15 fully permitted disposal facilities handling oil and gas drilling, completion and production waste streams across the most active U.S. energy basins. The parties did not disclose financial terms. They expect the deal to close in the fourth quarter, subject to customary closing conditions and regulatory approvals.

The transaction hands the Miami-based infrastructure investor, which manages more than $60 billion in assets, a platform whose throughputs are already substantial. In 2023 — the year SK Capital acquired the company — Milestone says it disposed of slightly less than 700 million gallons of liquid waste and 625,000 tons of solid waste, and sequestered 390,000 tons of carbon dioxide equivalent.

Founded in 2014, Milestone has built its business on a patented slurry injection process for complex oilfield waste, paired with a diversified network of slurry injection facilities and engineered landfills. The company positions this as end-to-end waste management for energy-sector customers.

Why I Squared is buying

I Squared Capital cited four factors in the deal: Milestone's leading position in the Permian Basin, comprehensive treatment and disposal capabilities, a growing platform in industrial waste management, and a strategically located network of permitted facilities. The firm says the acquisition expands its environmental infrastructure portfolio with what it calls an essential energy and industrial waste management platform serving the most active U.S. energy basins.

"Energy waste management is an essential but often underappreciated part of the energy value chain, providing the critical environmental infrastructure that enables safe and responsible oil and gas production," says Gautam Bhandari, managing partner and chief investment officer at I Squared Capital.

The investment thesis rests on volume fundamentals. As activity in the Permian Basin continues to drive a significant share of domestic and global oil and gas supply, I Squared argues, demand for reliable, environmentally compliant waste management infrastructure becomes an essential service for operators. The firm also points to long-term fundamentals supporting U.S. energy production and reindustrialization.

The industrial waste pivot

Beyond oilfield waste, Milestone has begun expanding into industrial waste management. The company says it is applying its regulatory expertise, infrastructure and geological capabilities to a broader range of hazardous and non-hazardous industrial waste streams — a move it frames as unlocking new avenues for potential long-term growth. I Squared says Milestone is now extending those regulatory capabilities to a broader set of customers and industries.

That expansion matters for the deal's logic. A permitted disposal network built for drilling and completion waste carries fixed capacity; widening the acceptable feedstock to industrial hazardous and non-hazardous streams increases the addressable tonnage flowing through the same 15 facilities without requiring a new permit-by-permit buildout.

A three-year repositioning under SK Capital

SK Capital, a New York-based private investment firm, bought Milestone in 2023. Jack Norris, a managing director at the firm, says the hold period delivered a deliberate repositioning.

"It has been a privilege to partner with Gabriel Rio and the entire Milestone team," Norris says. "Over the last three years, we've repositioned the Company by enhancing its market leadership, adding new capabilities and expanding into new markets. We believe Milestone is well-positioned to thrive under I Squared's ownership."

Milestone CEO and President Gabriel Rio frames the new owner as a fit on sector knowledge. "I Squared is an ideal capital partner for our team, a firm that deeply understands both the energy and environmental infrastructure sectors and shares our conviction in Milestone's trajectory," Rio says. "We have spent 12 years building and operating critical environmental infrastructure serving important oil and gas basins in the U.S., delivering safe, reliable, and innovative waste management solutions that our customers depend on every day."

Rio also credits the outgoing shareholder: "We are grateful for our partnership with SK Capital, whose support helped accelerate the growth and development of our platform. We look forward to building on that momentum in our new partnership with I Squared, expanding our reach and continuing to seek value for our customers and stakeholders."

What comes next

Two questions now set the trajectory. First, whether the fourth-quarter closing clears regulatory approvals on schedule — the only disclosed deadline in the transaction. Second, how quickly I Squared deploys capital into the industrial waste expansion, converting a 15-facility oilfield disposal network into a broader hazardous and non-hazardous waste platform. The closing, expected this quarter, is the milestone that determines when that second act begins.
