Vanguard Renewables Buys Generate Upcycle Digesters in US, Canada
The deal adds five digesters in Ontario and New York with 565,000 tons of processing capacity and 1.1 Bcf of RNG output, effective Oct. 1.

Vanguard Renewables acquires Generate Upcycle's five anaerobic digesters in Ontario and New York, effective Oct. 1, adding 565,000 tons of processing capacity and 1.1 billion cubic feet of RNG production.
The transaction brings Vanguard to 19 facilities operating or under construction and gives it entry into Canada's Clean Fuel Regulations market; it is the company's third acquisition in 12 months.
Generate Capital exits organics entirely after also selling Upcycle's seven U.K. facilities to Pinta Energy; Generate entered the sector in 2016.
Vanguard Renewables has agreed to acquire Generate Upcycle's North American organics recycling operations effective Oct. 1, adding five anaerobic digesters in Ontario and New York to its portfolio. The transaction brings an estimated 565,000 tons of processing capacity and 1.1 billion cubic feet of renewable natural gas production into the Massachusetts-based company's operations, according to a news release.
Once the deal closes, the BlackRock-backed recycler will have 19 facilities operating or under construction.
The sale marks Generate Capital's full exit from the organic waste business, a sector the investment firm entered in 2016. In a separate transaction, Generate recently sold Upcycle's seven U.K. facilities to Pinta Energy. "We have spent the past decade building Upcycle into a scaled organic waste platform with strong businesses across three countries," Generate Capital CEO David Crane said in a statement. "The transactions allow us to recycle capital toward our strategy of delivering reliable power to large energy users in an increasingly constrained grid."
Consolidation at speed
The acquisition is a notable expansion for Vanguard, one of North America's largest food waste recyclers. The company started with a focus on farm-based digesters in 2014 and has since broadened into collection, depackaging and RNG offtake agreements. Its current portfolio includes digesters in Massachusetts, Vermont, Virginia and Wisconsin, plus separate depackaging facilities in four states.
Growth accelerated after BlackRock acquired Vanguard in 2022 in a deal then valued at approximately $700 million. The company now sits in BlackRock's Global Infrastructure Partners portfolio.
The RNG side of the business gained scale in 2023, when Vanguard struck an offtake agreement with AstraZeneca described at the time as the largest open-market deal of its kind. In 2024, the company appointed Mike O'Laughlin as CEO following a series of executive shifts.
"Landfill diversion represents one of the largest opportunities in the resource recovery market, and scale and integration have become essential to realizing its full potential," O'Laughlin said in a statement about the transaction. "[W]e're creating more recovery pathways for customers, expanding our presence across strategic growth markets in the Northeast and Canada, and providing more reliable, long-term solutions for organic material diversion."
This is Vanguard's third acquisition in the past 12 months, following smaller purchases of collection and depackaging companies in Florida and Minnesota.
Pipeline versus built capacity
Vanguard has also been actively pursuing new construction, though it has stayed quiet about projections for total facility buildout. The company decided not to pursue a planned project in Georgia earlier this year.
Director of Communications Javier Vargas said Vanguard currently has 10 new sites in its development pipeline. One of them is under way: this summer the company broke ground on a digester in Litchfield, Minnesota, which will process 300 tons per day once complete.
Entry into Canada's Clean Fuel Regulations market
Beyond physical footprint, the Generate Upcycle deal gives Vanguard a position in Canada's Clean Fuel Regulations market. Generate Upcycle recently received a loan from that program to expand its London, Ontario facility and triple RNG production — the latest of several expansion and modernization investments the platform has led.
Generate Capital formally launched Generate Upcycle in 2022 with the acquisition of StormFisher Environmental Services, the developer of the London project. That same year, Generate bought composter Atlas Organics, later selling it to Circular Services. The firm also shuttered a Michigan digester last year after state permitting challenges.
Generate Upcycle is led by President Bill Caesar, who previously held executive roles at WCA Waste, WM and other companies. Caesar was not available for comment on what the transaction means for his role.
The Oct. 1 effective date now sets the clock on integration: whether the five acquired digesters and the London, Ontario expansion deliver the projected 565,000 tons and 1.1 billion cubic feet of RNG will be the first milestone to watch.
